ARTICLE I. GENERAL PROVISIONS
1.1 Scope and Application
These Terms and Conditions ("Terms") are issued in accordance with the Georgian Civil Code and other applicable laws of Georgia. These Terms govern the legal relationship between ASSIO LEX LLC, operating under the trade name LegalTranslation.ge ("Service Provider," "Company," "we," "us"), and any individual or legal entity ("Client," "Customer," "you") who places a binding order for any services provided by the Company in the field of translation, interpreting, proofreading, apostille, legalization, and other related language and legal services.
1.2 Contractual Integration
These Terms constitute an integral part of every contract concluded between the Service Provider and the Client, whether such contracts are concluded orally, in writing, via email communication, through our website, or by any other means of communication.
1.3 Hierarchy of Contractual Documents
In accordance with Georgian law, specific written agreements between the parties shall take precedence over these general Terms and Conditions. However, these Terms shall apply to all matters not specifically addressed in individual agreements.
1.4 Legal Framework
All services are provided in compliance with Georgian law, including but not limited to the Georgian Civil Code, Law on Entrepreneurs, Consumer Rights Protection Law, Law on Personal Data Protection, and relevant regulations governing translation and legal services in Georgia.
ARTICLE II. DEFINITIONS
For the purposes of these Terms, the following definitions shall apply:
"Standard Page" means a text unit of 1,800 characters including spaces, which is the standard measurement unit for translation pricing in Georgia.
"Translation" means the conversion of written text from one language to another, maintaining accuracy, meaning, and appropriate cultural adaptation. Translation services include various categories as defined below.
"Certified Translation" means translation performed by a translator registered with the Georgian Ministry of Justice, bearing official certification and seal, suitable for legal, governmental, and official purposes.
"Legal Translation" means specialized translation of legal documents, contracts, court decisions, legislation, and other legal materials requiring expertise in both legal terminology and comparative legal systems.
"Technical Translation" means specialized translation of technical, medical, scientific, engineering, or other professional documents requiring specific subject matter expertise.
"Express Translation" means translation services completed within 24 hours of order acceptance, subject to additional fees.
"Same-Day Translation" means translation services completed on the same business day as order acceptance, subject to premium pricing.
"Standard Translation" means translation completed within regular timeframes (typically 3-5 business days for documents up to 10 pages).
"Interpreting" means oral translation of spoken language in real-time, including various modes as defined below.
"Consecutive Interpreting" means interpreting where the interpreter speaks after the original speaker has finished, typically used in meetings, interviews, and small group settings.
"Simultaneous Interpreting" means interpreting where the interpreter speaks at the same time as the original speaker, typically used in conferences and large events, requiring special equipment.
"Court Interpreting" means interpreting services provided by certified court interpreters for legal proceedings, depositions, and official legal matters.
"Conference Interpreting" means professional interpreting services for conferences, seminars, and large-scale events, typically involving simultaneous interpreting with technical equipment.
"Escort Interpreting" means accompanying interpreting services for business meetings, site visits, negotiations, and other professional activities.
"Medical Interpreting" means specialized interpreting for healthcare settings, medical consultations, and medical procedures.
"Telephone/Remote Interpreting" means interpreting services provided via telephone, video conference, or other remote communication technologies.
"Proofreading" means the review and correction of translated or original texts for grammar, spelling, punctuation, and style.
"Editing" means comprehensive revision of texts including content, structure, style, and terminology improvement.
"Localization" means adaptation of content for specific markets, including cultural, legal, and linguistic modifications beyond literal translation.
"Apostille Services" means obtaining official authentication certificates for documents under the Hague Convention for international use.
"Legalization Services" means document authentication through diplomatic channels for use in non-Hague Convention countries.
"Notarization Services" means obtaining official notarial certification of documents and signatures.
"Document Preparation" means formatting, typesetting, and preparing documents for official submission or presentation.
ARTICLE III. SERVICE ORDERING AND CONTRACT FORMATION
3.1 Order Submission Methods
Clients may submit service orders through the following methods:
- Online order form on our website www.legaltranslation.ge
- Email communication to info@legaltranslation.ge
- Telephone consultation and order placement
- In-person consultation at our Tbilisi office
- Mobile application (where available)
3.2 Required Order Information
To process an order, Clients must provide the following information:
- Full name and contact details (individual clients) or company name and authorized representative (corporate clients)
- Valid email address and telephone number
- Type of service required (translation, interpreting, proofreading, etc.)
- Source and target languages
- Subject matter and intended use of the service
- Deadline requirements
- Special instructions or requirements
- Source documents (for translation/proofreading services)
- Delivery method preferences
- Billing information and preferred payment method
3.3 Quote and Estimate Process
Upon receiving a properly submitted order request, the Service Provider will:
- Review the requirements and source materials
- Prepare a detailed quote including pricing, timeline, and service specifications
- Send the quote to the Client within 2 business hours during regular business hours
- The quote remains valid for 7 calendar days unless otherwise specified
3.4 Contract Formation
A binding contract is formed when:
- The Client accepts the Service Provider's quote in writing (email acceptance is sufficient)
- The Client provides any required advance payment
- The Service Provider confirms acceptance of the order
- Both parties have agreed on all material terms including price, timeline, and specifications
3.5 Order Modifications
Changes to confirmed orders must be requested in writing and are subject to:
- Availability of resources to accommodate changes
- Potential additional costs for modifications
- Possible timeline adjustments
- Written confirmation of revised terms
ARTICLE IV. TRANSLATION SERVICES
4.1 Service Requirements and Specifications
4.1.1 Essential Information
To ensure accurate and appropriate translation, Clients must provide:
- Clear specification of the intended use and target audience
- Any specific terminology preferences or glossaries
- Style guide requirements or reference materials
- Formatting and layout requirements
- Confidentiality or security requirements
- Any relevant background information about the subject matter
4.1.2 Source Document Quality
Clients are responsible for providing:
- Legible and complete source documents
- Documents in editable format when possible
- Clarification of unclear or ambiguous content
- Access to subject matter experts when needed for technical content
4.1.3 Specialized Requirements
For technical, legal, medical, or other specialized translations, Clients should provide:
- Relevant glossaries or terminology databases
- Reference materials or previous translations
- Access to subject matter experts for consultation
- Specific regulatory or compliance requirements
4.2 Pricing and Payment Terms
4.2.1 Pricing Structure
Translation pricing is based on:
- Language combination category (as per our published rate schedule)
- Type of translation (standard, certified, legal, technical, etc.)
- Document complexity and specialization level
- Urgency and delivery timeline
- Volume discounts for large projects
- Additional services (formatting, proofreading, etc.)
4.2.2 Price Calculation
- Pricing is calculated per standard page (1,800 characters including spaces)
- Minimum charge applies for documents under one standard page
- Rates are quoted in Georgian Lari (GEL) inclusive of applicable taxes
- Additional fees may apply for express services, complex formatting, or specialized requirements
4.2.3 Payment Terms
- Payment terms are Net 14 days for established corporate clients
- New clients and individuals: 50% advance payment required
- Express services: Full payment required before commencement
- Large projects: Payment schedule to be agreed upon separately
- Accepted payment methods: bank transfer, credit/debit cards, cash (for local clients)
4.3 Delivery and Completion
4.3.1 Delivery Methods
Translations may be delivered via:
- Email delivery (PDF and/or editable formats)
- Secure file sharing platforms
- Physical delivery within Tbilisi
- Courier services (additional charges apply)
- Client pickup from our office
Important Note for Postal and Courier Deliveries: All physical deliveries must include the recipient's phone number to ensure successful delivery. Failure to provide a valid phone number may result in delivery delays or non-delivery, for which the Service Provider cannot be held responsible.
4.3.2 Delivery Confirmation
- Clients must confirm receipt of delivered translations
- If no confirmation is received within 2 business days of delivery, the translation is deemed accepted
- Physical deliveries require signed receipt
4.3.3 File Formats and Presentation
- Translations are delivered in the requested format
- Standard delivery includes PDF and Microsoft Word formats
- Special formatting requirements may incur additional charges
- Certified translations include appropriate certification and seals
4.4 Quality Assurance and Revision
4.4.1 Quality Control Process
All translations undergo:
- Initial translation by qualified translator
- Proofreading and quality review
- Final formatting and presentation check
- Compliance verification for certified translations
4.4.2 Revision Requests
- Minor revisions (up to 5% of content) are provided free of charge within 7 days of delivery
- Major revisions may incur additional charges
- Revision requests must be submitted in writing with specific details
- Revisions based on changed requirements may be subject to additional fees
4.5 Warranties and Liability
4.5.1 Quality Warranty
The Service Provider warrants that:
- Translations will be performed by qualified professional translators
- Certified translations will comply with Georgian legal requirements
- Services will be completed within agreed timeframes
- Translations will accurately convey the meaning of source documents
4.5.2 Limitation of Liability
- The Service Provider's liability is limited to the value of the specific service provided
- We are not liable for indirect, consequential, or special damages
- Liability does not extend to the use or legal consequences of translated documents
- Clients are responsible for verifying the suitability of translations for their intended purpose
ARTICLE V. INTERPRETING SERVICES
5.1 Service Categories and Requirements
5.1.1 Types of Interpreting Services
- Consecutive interpreting for meetings, interviews, and consultations
- Simultaneous interpreting for conferences and large events
- Court and legal interpreting for official proceedings
- Medical interpreting for healthcare settings
- Business interpreting for commercial activities
- Escort interpreting for site visits and business trips
- Telephone and video conference interpreting
5.1.2 Advance Notice Requirements
- Standard interpreting: minimum 48 hours notice
- Specialized interpreting: minimum 5 business days notice
- Conference interpreting: minimum 10 business days notice
- Same-day interpreting: subject to availability and premium rates
5.1.3 Preparation Materials
Clients must provide:
- Agenda and schedule of events
- Background materials and documentation
- Participant lists and roles
- Technical terminology or glossaries
- Venue information and logistical details
- Special equipment or accessibility requirements
5.2 Pricing and Booking Terms
5.2.1 Pricing Structure
Interpreting services are priced based on:
- Type of interpreting and complexity level
- Language combination
- Duration and timing (business hours vs. evenings/weekends)
- Location and travel requirements
- Special equipment needs
- Number of interpreters required
5.2.2 Minimum Charges and Booking Units
- Minimum 2-hour charge for all interpreting services
- Half-day rate (up to 4 hours) and full-day rate (up to 8 hours) available
- Overtime charges apply beyond standard hours
- Waiting time may be charged if services are delayed
5.2.3 Additional Costs
- Travel time and expenses for locations outside central Tbilisi
- Accommodation and meals for multi-day assignments
- Technical equipment rental and setup
- Cancellation fees as specified in Section 5.4
5.3 Service Delivery and Performance
5.3.1 Professional Standards
All interpreters:
- Are professionally qualified and experienced
- Maintain strict confidentiality
- Adhere to professional codes of ethics
- Are appropriately dressed for the setting
- Arrive punctually and prepared
5.3.2 Equipment and Technical Requirements
- Client is responsible for providing necessary audio/visual equipment unless specifically contracted
- Service Provider can arrange equipment rental at additional cost
- Technical setup and testing should be completed before service commencement
- Backup interpreters may be provided for critical events
5.4 Cancellation and Modification Policy
5.4.1 Cancellation Fees
Cancellation charges based on notice period:
- More than 48 hours: No charge
- 24-48 hours: 50% of service fee
- Less than 24 hours: 75% of service fee
- Same day cancellation or no-show: 100% of service fee
5.4.2 Service Modifications
- Changes to interpreting assignments must be confirmed in writing
- Schedule changes may incur additional costs
- Additional interpreters or extended hours subject to availability and additional charges
ARTICLE VI. APOSTILLE AND LEGALIZATION SERVICES
6.1 Service Scope
The Service Provider offers comprehensive document authentication services including:
- Apostille certification for Hague Convention countries
- Legalization for non-Hague Convention countries
- Document procurement and preparation
- Official translation coordination
- Notarization services
- International document delivery
6.2 Client Responsibilities
Clients must provide:
- Original documents or properly certified copies
- Clear instructions regarding destination country requirements
- Power of Attorney when required for document procurement
- Valid identification and authorization documentation
- Payment for all applicable government fees and service charges
6.3 Processing Times and Fees
- Government fees are set by Georgian authorities and subject to change
- Service Provider fees are additional to government charges
- Express processing available for urgent requirements
- International delivery costs are separate and based on actual shipping charges
6.4 Remote Services and International Clients
- Document procurement services available for clients outside Georgia
- Secure international shipping arrangements (recipient phone number required for delivery)
- Digital verification and tracking services
- Consultation services for destination country requirements
ARTICLE VII. PAYMENT TERMS AND CONDITIONS
7.1 General Payment Policies
7.1.1 Currency and Pricing
- All prices are quoted in Georgian Lari (GEL)
- Prices include applicable Georgian taxes unless otherwise specified
- International clients may pay in USD or EUR at prevailing exchange rates
- Price quotes are valid for 7 days unless otherwise specified
7.1.2 Payment Methods
Accepted payment methods include:
- Bank transfer (preferred for corporate clients)
- Credit and debit cards (Visa, Mastercard, American Express)
- Online payment platforms as available
- Corporate invoicing for established business clients
7.1.3 Payment Schedules
- Individual clients: Full payment upon completion or as agreed
- Small projects (under 1,000 GEL): Payment prior completion
- Large projects (over 1,000 GEL): 50% advance, balance upon completion
- Interpreting services: Payment due before service commencement
7.2 Late Payment and Collection
7.2.1 Late Payment Penalties
- Late payment interest: 0.1% per day on overdue amounts
- Reminder notices sent at 7, 14, and 30 days overdue
- Collection costs and legal fees may be charged to delinquent accounts
- Services may be suspended for accounts over 30 days overdue
7.2.2 Disputed Charges
- Payment disputes must be raised within 14 days of invoice date
- Undisputed portions of invoices remain due as scheduled
- Resolution process as outlined in Article XI (Dispute Resolution)
7.3 Refunds and Credits
7.3.1 Refund Policy
- Refunds for cancelled services as per specific service terms
- Quality issues resolved through revision or credit rather than refund
- Processing fees may be deducted from refunds
- Refunds processed within 10 business days of approval
7.3.2 Service Credits
- Credits may be issued for service quality issues
- Credits valid for 12 months from issue date
- Credits non-transferable and non-refundable
- Credits applied to future services automatically
ARTICLE VIII. INTELLECTUAL PROPERTY AND CONFIDENTIALITY
8.1 Intellectual Property Rights
8.1.1 Client Materials
- Clients retain all rights to source materials and documents
- Service Provider granted limited license to use materials solely for providing contracted services
- No rights claimed to client's intellectual property or proprietary information
8.1.2 Translation and Work Product
- Completed translations become property of Client upon full payment
- Service Provider retains right to use anonymized content for quality improvement and training
- No resale or redistribution of client work products
- Translation memories and terminology databases remain property of Service Provider
8.1.3 Service Provider Intellectual Property
- Service Provider retains all rights to proprietary methods, processes, and systems
- Client may not reverse engineer or copy proprietary tools or methodologies
- Company branding and marketing materials remain property of Service Provider
8.2 Confidentiality and Data Protection
8.2.1 Confidentiality Obligations
The Service Provider commits to:
- Maintain strict confidentiality of all client information and documents
- Limit access to client materials to personnel directly involved in service delivery
- Implement appropriate security measures to protect confidential information
- Not disclose client information to third parties without written consent
- Comply with all applicable data protection laws and regulations
8.2.2 Data Security Measures
- Secure file transfer and storage systems
- Access controls and authentication procedures
- Regular security audits and updates
- Secure destruction of documents when retention period expires
- Incident response procedures for any security breaches
8.2.3 Legal Disclosure Requirements
Service Provider may disclose client information only when:
- Required by Georgian law or court order
- Necessary to protect legal rights of Service Provider
- Required by law enforcement or regulatory authorities
- Client provides written authorization for disclosure
ARTICLE IX. QUALITY ASSURANCE AND COMPLAINT PROCEDURES
9.1 Quality Standards
9.1.1 Professional Standards
All services are performed:
- By qualified and experienced professionals
- In accordance with industry best practices
- Following established quality control procedures
- With appropriate supervision and review processes
9.1.2 Continuous Improvement
- Regular training and professional development for staff
- Client feedback collection and analysis
- Service process evaluation and enhancement
- Technology updates and improvements
9.2 Complaint and Resolution Process
9.2.1 Complaint Submission
Complaints must be submitted:
- In writing (email acceptable) within 14 days of service delivery
- With specific details of the issue and supporting documentation
- Including desired resolution or remedy
- To our designated customer service contact
9.2.2 Resolution Process
Upon receiving a complaint, we will:
- Acknowledge receipt within 2 business days
- Investigate the issue thoroughly
- Provide initial response within 5 business days
- Offer appropriate remedy or resolution
- Follow up to ensure client satisfaction
9.2.3 Available Remedies
Depending on the nature of the issue:
- Service revision or correction at no additional charge
- Partial or full service credit
- Refund of fees (in exceptional circumstances)
- Additional services to address any problems caused
ARTICLE X. FORCE MAJEURE AND SERVICE LIMITATIONS
10.1 Force Majeure Events
The Service Provider shall not be liable for delays or inability to perform due to:
- Natural disasters, epidemics, or public health emergencies
- War, terrorism, civil unrest, or government actions
- Labor strikes or work stoppages
- Infrastructure failures (power, internet, telecommunications)
- Supplier failures or unavailability of essential services
- Other events beyond reasonable control
10.2 Service Limitations and Disclaimers
10.2.1 Scope Limitations
- Service Provider does not provide legal advice or legal opinions
- Translations are linguistic services and do not constitute legal or professional advice
- Clients responsible for determining suitability for intended use
- Service Provider not responsible for legal consequences of document use
10.2.2 Technical Limitations
- Some formatting or design elements may not be perfectly reproducible
- Certain cultural concepts may not have direct linguistic equivalents
- Machine-readable or electronically generated documents may present challenges
- Highly specialized technical content may require additional expert consultation
10.3 Client Cooperation Requirements
Clients must:
- Provide complete and accurate information
- Respond promptly to requests for clarification
- Provide necessary access and permissions
- Cooperate in good faith throughout service delivery
- Meet their own deadlines and obligations
ARTICLE XI. DISPUTE RESOLUTION
11.1 Preferred Resolution Methods
The parties agree to attempt resolution of disputes through:
- Direct negotiation between the parties
- Mediation through qualified mediators
- Expert evaluation for technical or quality disputes
- Arbitration before resorting to court proceedings
11.2 Governing Law and Jurisdiction
- These Terms are governed by the laws of Georgia
- Georgian courts have exclusive jurisdiction over any legal proceedings
- Venue for any court proceedings shall be Tbilisi, Georgia
- Service of process may be made at registered office address
11.3 Limitation of Actions
- Claims must be brought within 12 months of the date the issue arose
- No claims accepted after expiration of limitation period
- Limitation period begins when client knew or should have known of the issue
ARTICLE XII. MISCELLANEOUS PROVISIONS
12.1 Independent Contractor Relationship
The relationship between Service Provider and Client is that of independent contractors. No partnership, joint venture, agency, or employment relationship is created by these Terms or any service agreement.
12.2 Assignment and Transfer
- Clients may not assign or transfer their rights or obligations without written consent
- Service Provider may engage qualified subcontractors to fulfill service obligations
- Service Provider may assign rights to payment and enforce collection
12.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions shall be replaced with valid provisions that most closely reflect the original intent.
12.4 Entire Agreement
These Terms, together with any specific service agreements and quotes, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.
12.5 Modifications and Updates
- Service Provider reserves the right to modify these Terms
- Updated Terms will be posted on our website
- Continued use of services constitutes acceptance of modified Terms
- Material changes will be communicated to active clients
12.6 Language and Translation
These Terms are originally prepared in English. Any translation is provided for convenience only. In case of conflict between versions, the English version shall prevail.

Official notices must be:
- Sent to the addresses specified above
- Delivered via registered mail, email, or hand delivery
- Deemed received when actually received or 3 days after proper mailing
- Provided in Georgian or English language
13.3 Business Hours
Regular business hours:
- Monday through Friday: 9:00 AM to 6:00 PM (Georgia Time)
- Saturday: 10:00 AM to 2:00 PM (by appointment)
- Sunday and Georgian national holidays: Closed
- Emergency services available by special arrangement
ACKNOWLEDGMENT AND ACCEPTANCE
By placing an order for services, submitting documents, or making payment, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
These Terms and Conditions are effective as of 12.07.2025 and remain in effect until superseded by updated terms.
